mystery drop-out with live 3.04 & cubase 5.0 rewire

i've been using live since 02 now....am currently using 3.04 with my mac g4 dual 1.25.
i generally use it alone or rewired to reason but this week i finally decided to rewire it to my old cubase 5.0.

the song was initiated in cubase (7 tracks of sampletank instruments and 2 audio drum-tracks) and i decided to i wanted to liven-up the drums in live.
all i have are 3 live tracks of hi-hats with different eq/gate settings on each rack....using only the simplest eqs etc.
but always....each and every time without fail.....
the song drops and glitches towards the end of the song with my sync light flashing.
as far as i know i have no sync signals written or sending from anywhere.
i have never ever seen the sync-light flash ever before, in fact.
cpu usage shows about 5-10%.
but the song basically stops at the exact same position every time.
this glitch is repeatable without fail.

anyone got a clue?

If you are running Cubase VST with Multi Proccessing enabled in the Audiio System setup try disabling that.
